4. Event Cancellations

EVENT REGISTRATION TICKET PURCHASE - TERMS AND CONDITIONS

SPONSORSHIP - TERMS AND CONDITIONS
The following are the terms and conditions for the Sponsorship agreement (hereinafter referred to as the Contract) at the NORTH AMERICAN BENGALI CONFERENCE 2025 between purchaser (hereinafter referred to as the “Sponsor”) and the Toronto Kalibari (hereinafter referred to as the “Organizer”). The NORTH AMERICAN BENGALI CONFERENCE 2025 event will be held in on Toronto on July 04, July 05, July 06, 2025 at Metro Toronto Convention Centre, Toronto, Canada (herein referred to as “Facility”).
- Payment for Sponsorship includes only what has been mentioned as a part of the above-mentioned Sponsorship Package type selected by you.
- Sponsor agrees to pay the Organizer, Full Amount of the Sponsorship Package selected by the Sponsor as per the following:
- At sign up of this contract.
- Before any issuance of invitation letter for visa by Organizer to Sponsors
- Full Payment for the Sponsorship Package selected by the Sponsor must be paid by the Sponsor to the Organizer before December 31, 2024.
- If the Sponsorship Package selected by the Sponsor entitles the Sponsor to hotel accommodation, hotel rooms will be provided to the Sponsor for number of nights specified for the package selected by the Sponsor with check-in at 4 PM on the date of check-in and check-out latest at 11 AM on Monday, July 07, 2025. The number of hotel rooms allotted to the Sponsor will be as mentioned in the Sponsorship Package selected by the Sponsor. Any extra room will cost extra. Also, the Sponsor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Sponsor who will occupy the hotel rooms allotted to the Sponsor must bring with them valid credit cards otherwise the hotels will not allow them to check-in. One valid credit card per room is required at the time of check-in.
- To attend any event performance, the Sponsor would require event tickets. If the Sponsorship Package selected by the Sponsor entitles the Sponsor to free event tickets, the Sponsor will be given free event tickets as mentioned in the Sponsorship Package selected by the Sponsor. Any extra ticket will cost extra. 13 years and above are considered adults and would require tickets. Children will require ticket if older than 3 years.
- If the Sponsorship Package selected by the Sponsor entitles the Sponsor to Complimentary Meals coupons for breakfast, lunch and dinner, then breakfast, lunch and dinner boxes will be provided to the Sponsor on July 04, July 05 & July 06, 2025 against submission of such Complimentary Meal coupons at the Food counter at the Facility. The number of Complimentary Meals will be provided as mentioned in the Sponsorship Package selected by the Sponsor. Any extra Meal coupons will cost extra.
- The Sponsor shall comply with all applicable federal, provincial, and local laws governing the use of the Facility during the NORTH AMERICAN BENGALI CONFERENCE 2025. Additionally, the Sponsor shall comply with rules and requirements of the Facility provider, concerning the use of the Facility.
- The Sponsor acknowledges that the Organizer informed the Sponsor that to sell items in Canada, the Sponsor must comply with all applicable federal, provincial, and local laws.
- It is a mandatory requirement for the Sponsor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Sponsor in the NORTH AMERICAN BENGALI CONFERENCE 2025 to have adequate medical insurance coverage while in Canada and will be required to procure it before commencing journey to Canada.
- If the Sponsorship package selected by the Sponsor, entitles the Sponsor to a booth, the Organizer will issue badges to Sponsor as per the Sponsorship Package selected by the Sponsor. These badges must be worn always to enter and stay inside the Facility. The badges cannot be used to attend any event performance.
- Payment for a Sponsorship Package selected by the Sponsor does not include:
- Canadian Visa Application Fee for the Sponsor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Sponsor.
- Airfare for the Sponsor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Sponsor.
- Medical Insurance of the Sponsor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Sponsor
- Shipment, transportation, storage, cost of any merchandise, promotional material, stall decoration materials shipped by the Sponsor or any individual(s) on behalf of the Sponsor.
- All arrangements with the Sponsor need to be approved by Organizer before this Contract becomes effective. Sponsor will be permitted to sell only merchandise that is pre-approved by Organizer.
- If the Sponsorship Package selected by the Sponsor, entitles the Sponsor to one or more booths, booth of size 10 Feet X 10 Feet will be assigned on a first come first serve basis, only after receipt of full payment for the Sponsorship Package selected by the Sponsor. Additionally, the Sponsor will be provided with table and chairs as per the Sponsorship Package selected by the Sponsor. The Sponsor must handover the booth along with the table and chairs in a clean “as received” condition without any damage or defacement at the end of the event. An additional charge will be levied upon the Sponsor if the booth along with the table and chairs are not returned in as-received condition.
- Should the Sponsor require additional booths in addition to what has been allotted as per the Sponsorship Package selected by the Sponsor, the Sponsor shall be charged extra for such requests at a rate based on the Organizer’s rate chart for such services pending availability. Sponsor must indicate such requirements by at least 60 days prior to event date. If extra booths are available, additional booths will be allotted only after receiving full payment for the extra booth space.
- Should the Sponsor require any additional furniture and fixtures other than the table and two chairs that has been allotted as per the Sponsorship Package selected by the Sponsor, the Sponsor shall have to pay extra for additional furniture and fixtures to the supplier of such furniture and fixture.
- If the Sponsor ships any merchandise, promotional material, or booth decoration materials, they have to do it at their own cost and also at their own risk associated with such shipment. Shipment can be received at the venue ONLY on July 03, July 04, July 5, July 07, 2025 and can be stored at the venue at the Sponsor’s own risk. Organizer will not be responsible for any loss/damage of items in the Sponsor’s merchandise, promotional materials, or booth decoration materials.
- If the Sponsor ships any merchandise, promotional material, or booth decoration materials, they have to arrange for customs clearance at their own cost and also at their own risk associated with such shipment.
- On completion of the NORTH AMERICAN BENGALI CONFERENCE 2025 event, the Sponsor will be responsible for removal any merchandise, promotional material, or booth decoration materials.
- The Sponsor shall obtain insurance coverage for damage, theft, or any kind of loss of merchandise, any promotional material or booth decoration materials within the Facility.
- The Sponsor (jointly and severally) does hereby indemnify and hold Organizer from and against any loss, claims, damages, or expense, including, but not limited to, attorneys' fees, which Organizer may suffer, incur, or expend arising out of any claim and/or any explicit and/or implicit liability associated with Sponsor’s activities regarding NORTH AMERICAN BENGALI CONFERENCE 2025 event.
- The final Contract with a copy of the approved application form, with necessary amendments and/or modifications, will be mailed to Sponsor upon receipt of the full payment and all required documentation.
- The Sponsor is expected to make its own arrangement for loading/unloading, transporting to/from the Facility, displaying, and safekeeping of the merchandise. For loading/unloading and transporting heavy merchandise, Sponsor may be able to hire, at its own expense, a contractor who is approved by the Facility. The Sponsor must use the designated loading docks for the Facility for loading and unloading of merchandise.
- Sponsor shall not engage in the following activities at any time in the Facility:
- Subletting or sharing the booth without prior written approval of the Organizer
- Selling any kind of snacks, food, or beverage without prior written approval from the Organizer.
- Selling or displaying balloons inside the Facility
- Engaging in any activity (such as, display, lecture, canvassing, distribution of pamphlets, video presentation, etc.) which could be construed as an attempt to convey or propagate any religious thought or faith, or to advance any political cause or any activity which may create racial or communal controversy or ill feeling.
- Selling or distributing any contraband merchandise, pirated goods or goods produced in violation of copyright and/or patent laws of Canada.
- Any activity that could be deemed “obscene” or “vulgar”.
- Creating any form of environmental, chemical, and/or fire hazard (including but not limited to, use of open flame, storage of inflammable, incendiary or hazardous material, tampering or interfering with electrical lines, etc.)
- Any activity that may not be approved by the Facility Provider, Organizer, Provincial and Federal law of the land.
- Non-compliance with any of the above restrictions will lead to cancellation of the booth allocation and/or any Contract executed by the Organizer in good faith. In such a case, no refund of payment of compensation of any kind will be made. Organizer will not be liable for any monetary loss of the Sponsor for cancellation of booth allocation. The Organizer also reserves the right to amend and/or make any changes to the prescribed rules and regulations from time to time to comply with the statutory rules and regulations as applicable under the Province of Ontario law and/or in compliance with the requirements of the Facility provider.
- Any dispute between the Sponsor and the Organizer after the execution of the Contract shall be arbitrated under the laws of the Province of Ontario. The Sponsor however understands and explicitly agrees that in no case Organizer will be liable for any damage, penalty or monetary award resulting from such dispute of an amount exceeding the total amount payment paid by Sponsor.
- The Sponsor acknowledges that their decision to have a booth at the Facility was solely based on the Sponsor’s marketing plan and that the Organizer or any of its agents, employees, volunteers, or officers did not make any representation or offer any explicit or implicit assurance or guaranty of any kind regarding the number of attendees or the amount of sales expected.
- This Agreement may only be amended in writing signed by all parties.
- Cancellation Policy: No cancellation or refund is applicable for any Sponsorship Packages.
In the unlikely event of cancellation of the NORTH AMERICAN BENGALI CONFERENCE 2025 event under any circumstances, the Organizer’s liability is limited to refunding the amount of money deposited by the Sponsor to the Organizer, after deducting a cancellation fee of 15% of the total the Sponsorship Package value selected by the Sponsor.

EXHIBITOR BOOTH RENTAL - TERMS AND CONDITIONS
The following are the terms and conditions for the Exhibitor Booth Rental agreement (hereinafter referred to as the Contract) at the North American Bengali Conference 2025 between the purchaser hereinafter referred to as the “Exhibitor” and the Toronto Kalibari (hereinafter referred to as the “Organizer”). The North American Bengali Conference 2025 event will be held in on Toronto on July 04, July 05, July 06, 2025 at Metro Toronto Convention Centre, Toronto, Canada (herein referred to as “Facility”).
- Payment for Exhibitor Booth Rental includes only what has been mentioned as a part of the above-mentioned Exhibitor Booth Rental Package type selected by you.
- EARLY BIRD PRICE: If availing the EARLY BIRD Price, Exhibitor agrees to pay the Organizer, a Full Payment of the Exhibitor Booth Rental Package selected by the Exhibitor by August 31, 2024, as per the following. Please contact us for EARLY BIRD Price offers.
- At sign up of this contract.
- In case the Exhibitor has signed up for EARLY BIRD price offer but fails to pay the full amount by August 31, 2024, EARLY BIRD price offer will not be valid any longer, REGULAR PRICE will be in effect.
- AFTER EARLY BIRD OFFER: Exhibitor agrees to pay the Organizer, 50% of the Exhibitor Booth Rental Package selected by the Exhibitor as per the following:

- Before any issuance of invitation letter for visa by Organizer to Exhibitor
- Full Payment for the Exhibitor Booth Rental Package selected by the Exhibitor must be paid by the Exhibitor to the Organizer before December 31, 2024, unless the Exhibitor has opted for EARLY BIRD DISCOUNTS in which case full payment must be made by August 31, 2024.
- If the Exhibitor Booth Rental Package selected by the Exhibitor entitles the Exhibitor to free event tickets, the Exhibitor will be given the free event tickets as mentioned in the Exhibitor Booth Rental Package selected by the Exhibitor.
- To attend any event performance, the Exhibitors would require event tickets. Any extra ticket that is not covered in the Exhibitor Booth Rental Package will cost extra. 13 years and above are considered adults and would require tickets. Children will require ticket if older than 3 years.
- If the Exhibitor Booth Rental Package selected by the Exhibitor entitles the Exhibitor to Complimentary Meals coupons for breakfast, lunch and dinner, then breakfast, lunch and dinner boxes will be provided to the Exhibitor on July 04, July 05 & July 06, 2025 against submission of such Complimentary Meal coupons at the Food counter at the Facility. The number of Complimentary Meals will be provided as mentioned in the Exhibitor Booth Rental Package selected by the Exhibitor. Any extra Meal coupons will cost extra.

Additionally, the Exhibitor shall comply with rules and requirements of the Facility provider, concerning the use of the Facility. The Exhibitor acknowledges that the Organizer informed the Exhibitor that to sell items in Canada, the Exhibitor must comply with all applicable federal, provincial, and local laws.
- It is a mandatory requirement for the Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor in the North American Bengali Conference 2025 at the Metro Toronto Convention Centre, Toronto to have adequate medical insurance coverage while in Canada and will be required to procure it before commencing journey to Canada.
- If the Exhibitor Booth Rental package selected by the Exhibitor, entitles the Exhibitor to a booth, the Organizer will issue badges to Exhibitor as per the Exhibitor Booth Rental Package selected by the Exhibitor. These badges must be worn always to enter and stay inside the Facility. The badges cannot be used to attend any event performance.
- While the Organizer will not provide hotel accommodation to the Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor at the North American Bengali Conference 2025, the Organizer may assist the Exhibitor with Hotel reservation. The Exhibitor must pay all such expenses for hotel room reservation directly to the Hotel. Exhibitor must bring with them valid credit cards otherwise the hotels will not allow them to check-in. One valid credit card per room is required at the time of check-in.
- Payment for an Exhibitor Booth Rental Package selected by the Exhibitor does not include:
- Canadian Visa Application Fee for the Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor.
- Canadian Biometrics Fee for the Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor.
- Airfare for the Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor.
- Medical Insurance of the Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor
- Shipment, transportation, storage, cost of any merchandise, promotional material, stall decoration materials shipped by the Exhibitor or any individual(s) on behalf of the Exhibitor.
- Hotel, accommodation, and Transportation for Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor.

- Cancellation Policy: No cancellation or refund request can be processed unless Canadian visa of the Exhibitor and / or any individual(s) accompanying or representing or attending or participating on behalf of the Exhibitor have been declined. In such event, written refund requests will be accepted till February 28, 2025. Submission of proof of visa decline is a mandatory requirement for cancellation or refunds. Refunds will be given after deducting a cancellation fee of 25% of the total the Exhibitor Booth Rental Package value selected by the Exhibitor.
